BY-LAWS
ARTICLE I
The name of this organization will be:
SALEM-KEIZER NEWCOMERS' CLUB
ARTICLE II
SALEM-KEIZER NEWCOMERS' CLUB shall be a non-profit organization dedicated to helping newcomers meet and make new friends, become acquainted with the civic and cultural climate of the community, and take part in a variety of activities and events.
ARTICLE III
Membership will be open to:
1. Membership will be open to: any new resident whose home residence is within 20 (automobile) miles of the Salem or Keizer city halls and has lived within those area boundaries for fewer than three years.
2. anyone who joins within three years of experiencing a significant life change such as loss of a spouse or retirement provided they reside within 20 (automobile) miles of the Salem or Keizer city halls.
3. Upon verification of past membership status by a current board member, a previous member may rejoin the club at any time by paying the full year's membership dues. Previous members who have discontinued membership for more than one year will pay dues based on the scale used for new members.
4. Members moving a distance of more than 20 (automobile) miles from the Salem or Keizer city hall may continue their membership.
ARTICLE IV
Amount of dues, and dates due, shall be set by the current board. Dues must be current to participate in any club activities.
ARTICLE V
The following officers of the Executive Board may be elected for a term of one year but may not serve for more than two consecutive terms in the same board position. (In normal circumstances it is expected that the President, President-Elect, Treasurer, and Treasurer-Elect will serve one-year terms only.)
The Executive Board will consist of the President, President-Elect, Membership Director, Program Director, Luncheon Director, Coffees Director, Activities Director, Secretary, Treasurer and Treasurer-Elect. There shall be one vote per Executive Board position. The immediate Past President will be included on the Executive Board in an advisory, non-voting capacity.
A. A nominating committee will be announced by the President at the March general meeting.
B. Selections of the nominating committee will be announced at the April general meeting.
C. At the May meeting nominations may be made from the floor with the written consent of the nominee. Election of officers shall be held at the May general meeting.
D. Installation of officers shall be at the June general meeting.
E. If the President is unable to fulfill her duties temporarily, the President-Elect shall preside. If the President-Elect is not available the President may appoint any member(s) of the Executive Board to handle one or more obligations.
F. If the office of President becomes vacant, either temporarily or permanently, the President-Elect will become President. If the President-Elect is not available the rest of the Executive Board will convene as a Committee-of-the-Whole and appoint someone to fill the office. The only criterion would be that the person must have served on the board in the past or be currently on the board. This action would not require a vote of the membership because time may be of the essence.
G. If any of the other officers are unable or are not fulfilling their duties, the President may appoint someone to carry out their duties on a temporary basis. Should this situation be permanent, the President and Executive Board will meet as a Committee-of-the-Whole and appoint someone to assume the office. This requires no vote of the membership.
ARTICLE VI
The President-Elect and Nominating Committee shall appoint the following general board members: Charities Chair, Historian, Newsletter Editor, Correspondence Coordinator, Publicity Coordinator, Roster Editor, and Reservations Chair. These persons will be voting members of the Board and shall have one vote on board matters. These positions are considered one-year appointments, and individuals may be appointed to the same position for no more than four consecutive years.
ARTICLE VII
Each Board Member, including Executive Board members and Committee Chairpersons shall have an up-to-date information binder which includes guidelines and duties for the position. The binder will be transferred to the new Board Member at the June Board Meeting or, if that date is not possible for one of the members, that member will contact their counterpart to set up a mutually agreed upon time prior to the first activity responsibility.
ARTICLE VIII
Board meetings shall be held on the third Monday of each month. Board members will be expected to attend. If a board member is not able to attend these meetings regularly, then a requested exception to this attendance requirement will be accepted or rejected by the Board. Board members, who occasionally may not be able to attend Board meetings, shall notify the President prior to that monthly meeting.
ARTICLE IX
The newsletter shall be printed and distributed eleven times per year. Articles for the newsletter should be submitted at or prior to the monthly board meeting. The newsletter shall be distributed at the monthly luncheon. If a member is not at the luncheon, the newsletter shall be mailed to member after the luncheon.
ARTICLE X
A minimum of five (5) Board members present at a regularly scheduled Board or General Meeting shall constitute a quorum.
ARTICLE XI
The Salem-Keizer Newcomers' Club shall operate under the simplified version of Robert's Rules of Order when conducting meetings.
ARTICLE XII
Amendments to the Bylaws or Standing Rules of the Salem-Keizer Newcomers? Club must be proposed by a committee of three executive board members as appointed by the President. Proposed amendments shall be published in the monthly newsletter previous to the amendment vote. Amendments must be approved by a majority vote of the members at a regularly scheduled general meeting.
